The transaction includes subsidiaries in the United States, Sweden, and Australia to expand transplantation diagnostic offerings.
Eurobio Scientific has finalized the acquisition of CareDx AB in Sweden and its subsidiaries in the United States and Australia, which comprise the lab products division of CareDx Inc.
The acquisition combines the portfolios of Eurobio Scientific affiliate GenDx and CareDx in human leukocyte antigen (HLA) typing and transplantation diagnostics. By integrating GenDx’s expertise in next-generation sequencing assays and software, the acquisition enables the company to offer a “comprehensive” portfolio across the transplantation in vitro diagnostics (IVD) workflow, from pre-transplant HLA typing to post-transplant monitoring.
The combined entity will provide an expanded selection of molecular assays, reagents, and software, with the goal of helping laboratories streamline operations and improve clinical outcomes. The integration also strengthens the presence of GenDx in the United States, Europe, and Asia-Pacific markets while increasing its capacity to serve research and clinical laboratories.
Eurobio Scientific acquired the lab products business for a cash purchase price of approximately €145 million, or $170 million, following customary adjustments.
“We are happy for the opportunity to close this transaction ahead of schedule and start the journey together with our team and new members towards our mission to advance precision medicine in transplantation,” says Denis Fortier, CEO of Eurobio Scientific, in a release. “We aim at delivering comprehensive solutions and continued innovation to all our customers and contribute to our patient quality of life.”
CareDx, a precision medicine company based in the US, was represented by Rothschild & Co and Fenwick & West LLP during the transaction, while Eurobio Scientific was represented by TD Securities and Kahn Partners.
“We are pleased to complete this transaction and believe the Lab Products portfolio is well positioned under Eurobio Scientific’s ownership and global IVD platform,” says John Hanna, CEO of CareDx, in a release.
